Mathematical Foundations & Underwriting Formulas

1. Eligible Borrowing Base & Concentration Deduction

Senior lenders determine the eligible collateral base by hair-cutting illiquid/Level 3 assets and deducting single-asset concentrations that exceed agreed risk thresholds:

$$\text{Stressed NAV} = \text{NAV}_{\text{Gross}} \times (1 + \text{Shock}) \times (1 - \text{Discount}_{\text{Level3}})$$ $$\text{Eligible Borrowing Base} = \min\left(\text{Facility Limit}, [\text{Stressed NAV} - \text{Excess Concentration}] \times \text{LTV}_{\max}\right)$$

2. LTV Covenants & Equity Cure Remedy

If market downturns drive Loan-to-Value above contractual thresholds, the GP must cure within the remedy period (15–30 days) to prevent loan acceleration:

$$\text{LTV}_t = \frac{\text{Debt Principal}_t}{\text{Stressed NAV}_t}$$ $$\text{Required Equity Cure} = \max\left(0, \text{Debt Principal} - [\text{Stressed NAV} \times \text{LTV}_{\text{Cure}}]\right)$$

Institutional NAV Financing FAQ

A NAV (Net Asset Value) facility is a fund-level asset-backed loan secured by the collective equity value and future cash distributions of a fund's portfolio companies, used during harvesting or mature stages to fund add-on acquisitions or accelerate LP distributions. Unlike subscription lines that rely on uncalled LP commitments, NAV loans look downward into the real market value of underlying investments.

The borrowing base is calculated by taking the eligible portfolio net asset value after deducting unquoted discounts and single-asset concentration limits, then multiplying by the maximum permitted loan-to-value (LTV) advance rate, typically between 15% and 25%. If the fund portfolio has high concentration in a single asset, the excess above the contractual cap (e.g., 20%) is excluded from the borrowing base.

A cash sweep LTV threshold (e.g. 18%) mandates that a percentage of asset sale proceeds be used to pay down senior NAV debt, whereas a margin call LTV (e.g. 27.5%) requires the GP to inject capital or cure the debt balance within a contractual remedy period. Breaching a margin call without curing results in an Event of Default, enabling lenders to seize distribution cash accounts.

GPs utilize NAV facilities during sluggish M&A or IPO exit environments to borrow against unrealized asset value and distribute liquidity to limited partners, boosting Distributed to Paid-In capital (DPI) metrics ahead of new fund fundraising. This provides LPs with interim liquidity, though it encumbers future realization proceeds with senior debt service.

The primary risk for LPs is cross-collateralization and fund-level leverage: NAV loans sit senior to LP equity, meaning that if asset values decline severely, realization proceeds are trapped to pay debt service, subordinating and potentially impairing LP capital recoveries. Additionally, high carry costs and PIK compounding can drag down total fund Net MoIC.
